These Terms & Conditions (“Terms”) govern the use of the VIP UAE platform (“Platform”, “we”, “us”, “our”) by event organizers (“Event Producers”) and ticket purchasers (“Users”, “Buyers”). By accessing or using the Platform, you agree to be bound by these Terms.

1Role of the Platform

VIP UAE is a technology platform that provides tools and services enabling Event Producers to create, promote, market, and sell tickets to events.

VIP UAE:

Does not organize, host, sponsor, manage, or control any events listed on the Platform.
Does not assume responsibility for the quality, safety, legality, or execution of any event.
Acts solely as a facilitating platform connecting Event Producers and ticket buyers.
All events listed on the Platform are independently organized and operated by Event Producers.

2Seller of Record

Each Event Producer is the seller of record for tickets sold through the Platform.

The contract for the sale of tickets is formed directly between the Event Producer and the ticket buyer.
VIP UAE is not a party to the ticket sale contract.
Any obligations related to the event or ticket fulfillment rest solely with the Event Producer.

3Payments & Payment Processing

VIP UAE may collect ticket payments from buyers on behalf of Event Producers as a payment collection agent.
Funds collected are processed and settled according to the agreed payout schedule.
VIP UAE does not assume ownership of ticket sale proceeds, except for applicable platform service fees.

4Taxes & VAT

Event Producers are responsible for:

Determining whether VAT or any other taxes apply to their ticket sales.
Charging VAT where legally required.
Reporting and remitting VAT and other applicable taxes to the Federal Tax Authority (FTA) or relevant authorities.

VIP UAE:

Acts only as a payment collection agent.
Is not responsible for taxes on ticket sales.
Charges VAT only on VIP UAE’s platform service fees, where applicable, and not on the full ticket value.

5Platform Fees

VIP UAE charges Event Producers a service fee for use of the Platform.
Platform fees may be fixed, percentage-based, or otherwise agreed.
VAT (where applicable) is charged only on VIP UAE’s service fee.
Platform fees are non-refundable unless otherwise stated.

6Permits & Regulatory Compliance

Event Producers Responsibilities:

All required event permits and licenses.
Venue approvals, permissions, and No Objection Certificates (NOCs).
Any regulatory approvals required by local or governmental authorities.

VIP UAE Position:

Does not verify the validity, legality, or authenticity of permits unless explicitly stated.
Bears no responsibility for regulatory non-compliance by Event Producers.

7Event Responsibility

Event Producers are solely responsible for:

Event planning, execution, and delivery.
Ensuring event safety, security, and compliance.
Communicating accurate event details, schedules, and policies.

VIP UAE makes no guarantees regarding event quality, accuracy of listings, or event outcomes.

8Refunds, Cancellations & Postponements

Event Producer's Role:

Event cancellation or postponement.
Defining and communicating refund policies.
Processing refunds.

VIP UAE's Role:

Facilitate refund processing (discretionary).
Act in accordance with stated policies.

VIP UAE is not liable for refund disputes arising from Event Producer decisions.

9Limitation of Liability

To the maximum extent permitted by law, VIP UAE shall not be liable for:

Event cancellation, postponement, or changes.
Failure or inability of an Event Producer to deliver an event.
Any loss, injury, damage, or expense arising from attendance or non-attendance.
Any indirect, incidental, or consequential damages.

VIP UAE’s total liability shall be limited to the platform service fees paid to VIP UAE in relation to the affected transaction.

10User Conduct

Users agree not to:

Use the Platform for unlawful or fraudulent purposes.
Misrepresent event details or ticket availability.
Violate applicable laws, regulations, or third-party rights.

VIP UAE reserves the right to suspend or terminate access for violations of these Terms.

11Intellectual Property

All Platform content, software, trademarks, and branding are the exclusive property of VIP UAE unless otherwise stated.
Users may not copy, modify, or distribute Platform materials without prior written consent.

12Termination

VIP UAE reserves the right to suspend or terminate accounts or listings at its sole discretion, including for violations of these Terms or applicable laws.
Termination does not affect obligations already incurred.

13Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the UAE.

14Changes to Terms

VIP UAE reserves the right to update or modify these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
